OtherProvisions买方Buyer地址Address电话Tel传真Fax卖方Seller地址Address电话Tel传真Fax本合同经买、卖双方友好协商后在年月日签订。根据本合同签订的条款，买方同意向卖方购买、卖方同意向买方提供下列轻钢结构系统建筑材料一套(以下简称钢结构)：ThisContractismadebyandbetweentheBuyerandSelleronthedateof,afterfriendlynegotiations.TheBuyerherebyagreestopurchasefromtheSellerzandtheSellerherebyagreestoselltotheBuyerzthefollowingsetofmetalbuildingsystem(hereinafter,thenMetaIBuildingSystem")onthetermsandconditionssetforthinthisContract:项目名称Article1.NameofProject1.1 本项目名称为：Thenameofthisprojectis:1.2 本项目位于(以下简称工地现场)。Thisprojectislocatedat(hereinafter,“theSite").第二条卖方供货范围Article2.ScopeofSupplyfromSeller2.1 在提供钢结构时，卖方应负责：InsupplyingtheMetalBuildingSystem,theSellershallberesponsiblefor:2.1.1 设计并制造供应本项目地面以上的全部钢结构(详见附件一)；及thedesignandmanufactureofthisproject'sentireabove-groundstructure(seeAttachment1fordetails);and2.1.2 所提供钢结构部件及材料的口必要包装运输口运输的保险。thenecessarypackingshippingshippiginsuranceofandforthepartsandmaterialsoftheMetalBuildingSystembeingsupplied.合同价格Article3.ContractPrice3.1 本合同总价为人民币一整(以下简称合同总价)。ThepriceofthisContractisRmb(hereinafter,the“ContractPrice").3.2 合同总价不包含口关税增值税。TheContractPriceexcludestherelatedcustomsdutyvalueaddedtaxes.第四条付款条件及方式ArtiCle4.PaymentTerms1.1 本合同签订后五个工作日内，买方应付予卖方合同总价之20%作为定金，即人民币：元。Within5workingdaysofthesigningofthisContract,theBuyershallpaytotheSelleradepositequalto20%oftheContractPrice,i.e.Rmbyuan.1.2 买方收到卖方的钢结构设计图并确认后三个工作日内，应付予卖方合同总价之20%作为预付款，即人民币元。Within3workingdaysofitsreceiptandapprovalofthedesigndrawingsfortheMetalBuildingSystem,theBuyershallpaytotheSelleraprepaymentamountequalto20%oftheContractPrice,i.e.Rmb.1.3 钢结构制造完成后，并经买方验收后五个工作日内，买方应付予卖方合同总价之60%,即人民币元。Within5workingdaysafterthemanufactureoftheMetalBuildingSystemhasbeencompletedandtheBuyerhasacceptedtheMetalBuildingSystem,theBuyershallpaytotheSeller60%oftheContractPrice,i.e.Rmbyuan.1.4 买方支付卖方的所有款项均以银行汇票或电汇方式。所有付款日期均以卖方收款之银行收款凭证日期为准。如买方逾期五天付款，须从第六天起按日支付该笔逾期款项0.1%的滞纳金。若买方之逾期付款超过应付款日三十天后，卖方有权单方面取消整个合同，并没收买方已支付之定金、预付款和其他款项作为赔偿。若该笔款项不足弥补卖方之损失,则买方还需就不足部分支付赔偿金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller'sdesignatedaccount.Thedateofpaymentforallamountsshallbetheofficialdateofreceiptbytheseller'Sreceivingbank.IftheBuyerspaymentislateforfivedaysjtshallpayapenaltyonthelatesumfromthesixthdayatarateof0.1%perday.IftheBuyerspaymentislateformorethan30daysztheSellerhasarighttounilaterallyterminatethisContractandforfeitthedeposit,prepaymentandanyothersumsascompensation.IfsuchsumsarenotsufficienttocompensatetheSeIIerDslosses,theBuyershallpaytheSellertheamountofsuchdeficiency.第五条设计、制造进度及期限Article5. ProgressandTime1.imitonDesignandManufacture5.1 卖方收到定金后四周内，应向买方提供设计所需的反力图及地脚螺栓布置图。买方应尽快将以上资料提交负责设计地基和基础的设计院。有关设计院的所有费用(包括图签费用)均由买方承担。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.5.2 收到预付款后一周，卖方应完成钢结构制造并通知买方派员到卖方工厂进行交货发运前检验。Withinweeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSellerzsplanttoinspectthegoodsbeforetheirdeliveryandshipment5.3 买方验收后已付卖方第4.3条货款后一周内，卖方应将产品运至工地现场。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.5.4 买方若要求变更钢结构规格或设计，应以书面方式通知卖方，卖方在可能的情况下尽量满足买方要求，但卖方可视增加之工时和材料调整本合同价格及期限，经买卖双方同意后才生效。所有钢结构规格或设计之变更，若因买方未能于两天内签置卖方所提供的有关确认文件，均视为买方取消变更要求，回复原本规格或设计。如因此而造成钢结构设计或制造之延误，则买方须承担一切责任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyersrequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheM
