CONTRACTFORPROCESSINGmessrs:industryltd.(hereinaftercalledpartya)andindustryltd.(hereinaftercalledpartyb)haveagreedthatpartybshallmanufacturestandardmagneticcompassesinwithallnecessarypartsandmaterialssuppliedbypartyaunderthefollowingtermsandconditions:1.commodityandquantitiesforprocessingwithsuppliedmaterialsandassemblingwithsuppliedparts:(1)commodity-standardmagneticcompass;(2)quantity-setsintotal.2.allnecessarypartsandmaterialslistedinthecontractshalleitherbesuppliedbypartyaorpurchasedinorbypartyb;3.theprocessingchargeforeachmodelisasfollows:(1)standardmagneticcompassoftypeglc-1atu.s.$(say:u.s.d)each;(2)standardmagneticcompassoftypeglc-2atu.s.$(say:u.s.d)each;(3)standardmagneticcompassoftypeglc-3atu.s.$(say:u.$.d)each.4.themainparts,consumablesandmaterialsrequiredforprocessingwillbesentto(place)bypartyaandifthereisanyshortageordamage,partyashouldbeheldresponsibleforsupplyingreplacements;5.partyashouldpaypartybbyl/cort/tcoveringthefullamountofprocessingchargesandcostsofparts,consumablesandmaterialspurchasedinorbypartybonemonthbeforeshipmentofthefinishedproducts;6.partybmustcompletethemanufacturingofallstandardmagneticcompassesoftypeglc-1andeffectshipmentwithintheagreeddatewithoutdelayexceptintheoccurrenceofuncontrollableandUnforceeableevents;7.thedamagerateofpartsandmaterials:thedamagerateofpartsandmaterialsinprocessingis%andsuchadamagerateofpartsandmaterialsshallbesuppliedfreebypartya,shouldthedamagerateexceed%,partybshallsupplyadditionalmaterialsandnecessaryparts;8.shouldshipmentofmaterialsandpartssentbypartyabewrongorinexcess,partybshallreturntheexcessiveportionattheexpenseofpartya,incaseofshortshipment,partyashallmakeuptheshortage;9.allpartsandmaterialssuppliedbypartyaforstandardmagneticcompassesshallbeprocessedbypartybstrictlyinaccordancewiththedesignwithoutanymodification;10.technicalservice:partyaagreestosendtechnicianstotohelptrainingpartyb,stechniciansattherequestofthelatteratanytimeandallowsthetechnicianstoremainwithpartybforinspectionofthefinishedproducts,insuchcase,partybagreestopayamonthlysalaryofu.s.$foreachperson,allotherexpenses(includingroundtriptickets)willbebornebypartya;11.allimportandexportformalitiesinconnectionwiththiscontractshouldbehandledbypartyb;12.allstandardmagneticcompassesprocessedbypartybshallbeshippedtotheforeignbuyersappointedbypartyaatanytime;13.othertermsandconditions:(1)thetrademarksofstandardmagneticcompassshallbesuppliedbypartya,shouldtherebeanylegaldispute,partyashallbeheldfullyresponsible;(2)thequalityofpartsandmaterials,ifnecessary,purchasedinorbypartybforstandardmagneticcompassesmustmeasureuptostandardandbeapprovedbypartyabeforehand;(3)forpromotionalpurposes,partybshallpreparesamplesofstandardmagneticcompassatanytimeandsendthemtoforeignbuyersappointedbypartya,allpartsandmaterialsrequiredwouldbesuppliedoutofthestocksuppliedbypartya;14.thiscontractshallbemadeintriplicate,partyaandpartybshall,bothsigningallcopies,retainonecopyandsubmitonetoauthoritiesconcernedin(place)forregistration.industryltd.industryltd.managermanager
