美国棉花进口合同中英文对照全套美国棉花进口合同（中英文对照）CONTRACTOFAMERICANCOTTONTRADE合同编号ContractNo.:签订日期DateofSignature:签订地点PlaceofSignature:卖方:Seller:地址：Address:电话Tel:传真Fax:电子邮箱E-mail:买方:Buyer:地址:Address:电话Tel:传真Fax:电子邮箱E-mail:TABLEOFCONTENTS数量Quantity2 .单价UnitPrice3 .规格Specification4 .包装Package5 .装船暖头ShippingMarks6 .装运条件PackageCondition7 .装船通知ShipmentAdvice8,付款Payment9 .单据DoCUmentS10 .品质与重量QualityandWeightH.棉花品质降级差价PriceDifferenceWithCottonQuality12 .检验费InspectionFee13 .病虫害熏蒸FumigationofInsectPests14 .不可抗力ForceMajerue15 .仲裁Arbitration中国纺织品进出口总公司(以下简称买方)与美国公司(以下简称卖方)按下列规定的条款达成协议，作为买卖双方棉花买卖成交合同的条件。TheagreementhasbeenenteredintoandconcludedbyandbetweenChinaNationalTextilesImportandExportCorporation(hereinafterreferredtoasbuyer)andCorporationLtd.ofUnitedStatesofAmerica(hereinafterreferredtoasseller)asperfollowingtermsandconditionsofcottontransactionbetweenpartieshereto.1 .数量Quantity按公吨或按包装计算总重量，允许多交或少交1%。Totalweightofgoodswillbecaculatedbymetrictonorpackage,moreorlessthan1%maybeallowed.2 .单价UnitPrice重量以磅为计量单位。Weightismeasuredinpounds.FOBSTOWED:将棉花装入船舱内并整理好。FOBSTOWED:Putcottoninthecabinandtidyitup.FAS:将棉花运至船的吊钩下。如FOB集装箱条款，须把箱运到集装箱场站。FAS:ThecottonistransportedtotheplaceunderhookofshipzwhereFOBcontainerclauseapplicable,thecontainershouldbetransportedtothecontaineryardstation.CANDF:班轮条款，运费已定不变。CANDF:Freightratefixedforlinerterm.3 .规格Specification按美国陆地棉统一标准或凭样。SubjecttothecottonstandardofAmericancontinentaloronsample.4 .包装Package4.1 适合于海运的紧缩机出口包装，外裹麻布、棉布或其他包皮，用牢固的打包铁皮或粗铁丝箍紧。每包净重约磅（公斤），平均体积立方米。在适用FOB、FOBSTOWED.FASVESSEL贸易术语交易的情况下，如果每吨毛重超过规定的体积，其超过部分的运费则由卖方负担。Theexportpackagesuitableforoceantransportationispackedbyretrenchmentmachine,wrappedinIinenzcotton-clothorotherwrapping,bandingtightlybystrongironorthickiron-wire.Thenetweightofeachpackageisaboutpounds(kg)zwithanaveragevolumeofcubicmeters.ProvidedthatthetradetermsofFOB,FOBSTOWEDzFASVESSELareapplied,ifthegrossweightpertonexceedsthestipulatedvolume,theexcesspartoffreightwillbebornbyseller.4.2 棉花包装内不得混杂麻丝、破布、木屑、铁屑及铁钉等杂物。如有发现杂物混入棉花包装内，买方可根据中国商品检验局(以下简称CCIB)或用户在使用过程中提供的证明及有关的唆头，向卖方提品质索赔。Cottonpackagesshallnotbemixedwithfibriliazragszwoodchips,ironchips,ironnailsandothersundries.Whereanysundriesarefoundtobemixedintothecottonpackage,buyermaylodgeaclaimagainstselleronthebasisofthecertificateprovidedbyChinaCommodityInspectionBureau(CCIB)orthecustomerinthecourseofuseandtherelevantshippingmarks.5 .装船暖头ShippingMarks5.1 在棉包的一端和两侧面用不褪色的颜料按下列项目逐包刷陵。A.合同号，B.样子或等级长度，C.批号，D.包号。Ononeendandtwosidesofeverycottonpakageshouldbebrushedthemarksusingundadingpigments,includingA.ContractNo.,B.SampleorRanklength,C.BatchnumberzD.Packagenumber.5.2 如卖方没有在唆号刷合同号，由此而产生的混暖理货费由卖方负担。WheresellerfailstobrushcontractNo.inthepackagemarkszthecostofmixedmarktallyingresultingtherefromwillbeforaccountofseller.6 .装运条件PackageCondition6.1 如按FOB成交，买方在装船前十五天左右，将船名通知卖方（允许买方以后更改船名）卖方可随时向买方了解装船时间的安排。船长在船到前24小时用电报通知船代理转告卖方，说明该船预计到达目的港的时间。卖方收到船长备装通知后，应立即做好货物装运准备。ProvidedthatthetransactioniseffectedbyFoB,buyershould,onapproximate15dayspriortoshipment,notifysellerofthevesselnamewhichmaybechangebybuyerlater,andsellercanatanytimeinqurireofthearrangementofshipmenttimefrombuyer.Thevesselmasterwillgiveselleracableadvicewithin24hoursbeforearrivaltonotifytheestimatedtimeofarrivalofthevesselattheportofdestination.Sellershould,uponreceiptofnoticefrommasterforshipingarrangement,effectthepreparationofgoodsshipmentassoonaspracticable.6.2 除人力不可抗拒的原因外，如买方在合同规定的交货期内，超过十天未能安排船到装运港，买方需负担仓储费。Exceptforthereasonsofforcemajeurezwherebuyerzwithintheperiodofshipmentstipulatedhereof,failstoarrangevesseltotheportofshipmentformorethantendays,buyershallundertakethestorageexpenses.6.3 如买方在合同规定的装船期内通知卖方装船，除人力不可抗拒的原因外，当船到后卖方延迟交货或不能交货，卖方应赔偿由此而产生的滞期费和空船损失。如卖方超过合同规定的交期45天仍不能装船，买方有权决定合同是否有效。Exceptforthereasonofforcemajurezwherebuyernotifysellerofshipmentwithintheloadingperiodstipulatedincontract,afterarrivaloftheshipsellerdefersorfailstoeffectshipment,sellershouldmakecompensationsofthelossesofdemurrageanddeadfreightarisingtherefrom.Providedthatsellerisstillunabletoeffecttheshipmentinexcessof45daysthanthedeliveryperiodwhichstipulatedhereof,buyerhasrighttodecidewhetherthecontractisvalidornot.6.4 如以C&F贸易术语成交，卖方在交货期内不能装船，卖方从超过交货期的第天起，按照每天货值的损失支付给买方。未经买方同意,不允许转船和分运。InthetransactionofC&Fterm,wheresellerfailstoeffectshipmentwithinthedeliveryperiod,shouldpaythelossasper%ofgoodsvalueperdaytobuyerfromdayinexcessofdeliveryperiod.Transshipmentandpartialshipmentarenotallowedwithoutbuyer'sconsent.7 .装船通知ShipmentAdvice7.1 如为FOB成交卖方在装船后须在两个工作日内电告买方合同号、等级长度或样品、包装、净重、金额；船名、装船日期、装船口岸，并航寄装船单据副本一式三份给买方。IntransactionofFOBtermzsellershould,within2workingdays,advicebuyeracableofthecontractnumber,gradelengthorsample,packing,netweight,amount;vessle,Snamezthedateandportofshipment,andairmailthecopiesofshippingdocumentsintriplicatetobuyer.7.2 如为C&F成交，卖方在装船前十五天左右，将船名及预计到港日期通知买方。IntransactionofC&Fterm,sellershould,onapproximate15dayszadvicebuyerofthevesselnameandest
