购买和约(英文)范文购买和约WholeDoc.ContractNo:Date:TheBuyer:TheSeller:TheContract,madeout,inChineseandEnglish,bothversionbeingequallyauthentic,byandbetweentheSellerandtheBuyerwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedgoodssubjecttotermsandcondi-tionssetforthhereinafterasfollows:SECTION11NameofCommodityandspecification2CountryofOrigin&ManufacturersUnitPrice(packingchargesincluded)4QUantity5TotalValue6Packing(seaworthy)7Insurance(tobecoveredbytheBuyerunlessotherwise)8TimeofShipment9Portof1.oadinglOPortofDestinationmarkshownasbelowinadditiontotheportofdestination,packagenumber,grossandnetweights,measurementsandothermarksastheBuyermayrequirestencilledormarkedconspicuouslywithfastandunfailingpigmentsoneachpackage.Inthecaseofdangerousand/orpoisonouscargo(es),theSellerisobligedtotakecaretoensurethatthenatureandthegenerallyadoptedsymbolshallbemarkedconspicuouslyoneachpackage.12 TermsofPayment:OnemonthpriortothetimeofshipmenttheBuyershallopenwiththeBankofanirrevocableLetterofCreditinfavouroftheSellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderClause18.A.ofSECTIONII,theTermsofDeliveryofthisContractafterdepartureofthecarryingvessel.ThesaidLetterofCreditshallremaininforcetillthe15thdayaftershipment.13 OtherTerms:UnlessotherwiseagreedandacceptedbytheBuyer,allothermattersrelatedtothiscontractshallbegovernedbySectionII,theTermsofDeliverywhichshallformanintegralpartofthisContract.AnysupplementarytermsandconditionsthatmaybeattachedtothisContractshallautomaticallyprevailoverthetermsandconditionsofthisContractifsuchsupplementarytermsandconditionscomeinconflictwithtermsandconditionshereinandshallbebindinguponbothparties.FORTHESELLERFORTHEBUYERSECTION214FOB/FASTERMS14.1TheshippingspaceforthecontractedgoodsshallbebookedbytheBuyerortheBuyer,sshippingagent.14 .2UnderFOBterms,theSellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.15 .3UnderFASterms,theSellerShallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.16 .410-15dayspriortothedateofshipment,theBUyershallinformtheSellerbycableortelexofthecontractnumber,nameofvessel,ETAofvessel,quantitytobeloadedandthenameofshippingagent,soastoenabletheSellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.TheSellershalladvisebycableortelexintimetheBuyeroftheresultthereof.Should,forcertainreasons,itbecomenecessaryfortheBuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarrivalaspreviouslynotifiedtotheSeller,theBuyeroritsshippingagentshalladvisetheSellertothiseffectinduetime.
